Terms of Service

These Terms of Service (“Terms”) govern access to and use of EMPAI, an e-commerce automation and integration platform operated by Janyx LLC (“Janyx,” “we,” “us,” or “our”), including the website at empai.ai and related services that connect merchants with marketplaces such as TikTok Shop.

By accessing or using EMPAI, you agree to these Terms. If you are using EMPAI on behalf of a company, you represent that you have authority to bind that company.

1. The service

EMPAI provides tools that may include:

• Product and catalog synchronization
• SKU and variant management
• Inventory and pricing synchronization
• Secure seller authorization to connected marketplaces

Features may change over time. Marketplace availability depends on partner programs and your eligibility with those marketplaces.

2. Accounts and authorization

You are responsible for maintaining the confidentiality of EMPAI account credentials and for activity under your account. EMPAI accesses a TikTok Shop or other marketplace seller account only after you grant authorization through the marketplace’s official authorization process (such as OAuth). You do not provide EMPAI with marketplace passwords (including TikTok passwords).

When you connect a marketplace seller account, you authorize EMPAI to access and process data within the scopes you grant, solely to provide the Service. You must have the right to authorize EMPAI to act on behalf of each store and marketplace seller account you connect. You may revoke marketplace authorization where supported through EMPAI and/or the marketplace’s seller settings.

3. Merchant responsibilities

• Provide accurate catalog, inventory, and pricing information.
• Comply with marketplace rules, advertising policies, and applicable law.
• Ensure product content you sync does not infringe third-party rights.
• Review synced listings and promptly correct errors on source or destination systems.
• Revoke marketplace access when you no longer wish EMPAI to operate on your behalf.

4. Marketplace partners

EMPAI may integrate with third-party marketplaces (including TikTok Shop). Those platforms are governed by their own terms and privacy policies. Janyx is not responsible for marketplace outages, policy changes, account suspensions, or decisions made by marketplace operators.

5. Fees

Paid plans, if offered, will be described at the time of purchase or in an order form. Unless stated otherwise, fees are non-refundable. You are responsible for applicable taxes.

6. Intellectual property

EMPAI, including its software, branding, and documentation, is owned by Janyx LLC or its licensors. You retain ownership of your catalog and commercial content. You grant Janyx a limited license to process that content solely to provide and improve the Service.

7. Acceptable use

You may not:

• Misuse EMPAI to violate marketplace rules or applicable law.
• Attempt to access systems or data without authorization.
• Interfere with Platform integrity, security, or availability.
• Resell or sublicense EMPAI except as expressly permitted in writing.

8. Disclaimers

EMPAI is provided “as is” and “as available.” To the maximum extent permitted by law, Janyx disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that synchronized data will always match across systems without delay.

9. Limitation of liability

To the maximum extent permitted by law, Janyx LLC and its officers, directors, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Janyx’s total liability for any claim relating to EMPAI will not exceed the amounts you paid to Janyx for EMPAI in the twelve (12) months before the claim, or one hundred U.S. dollars (US$100) if you have not paid fees.

10. Indemnification

You will defend and indemnify Janyx against claims arising from your catalog content, marketplace activity, misuse of EMPAI, or breach of these Terms.

11. Suspension and termination

We may suspend or terminate access if you breach these Terms, create risk to the Platform or others, or if required by a marketplace partner or by law. You may stop using EMPAI at any time and may disconnect integrations.

12. Privacy

Our collection and use of personal information is described in the Privacy Policy.

13. Changes

We may update these Terms by posting a revised version on empai.ai. Continued use after changes become effective constitutes acceptance where permitted by law.

14. Governing law

These Terms are governed by applicable laws of the United States, excluding conflict of law rules, unless mandatory local law provides otherwise. Disputes will be resolved in courts of competent jurisdiction in the United States, except where prohibited.
